HED Dealer Network Sponsor Terms

These terms apply to the HED Dealer Network Sponsor placement offered through Heavy Equipment Directory (“HED”), a service and brand operated by Brian DeVore Consulting LLC (“BDC”). They supplement the HED Terms of Use and Privacy Policy. The approved order and scheduled booking identify the sponsor, creative, destination, start, and end for the purchased placement.

1. Offer and price

The offer is one HED-hosted, approved creative on the named HED dealer network placement for one fixed scheduled 30-day term. The subtotal is $49 USD, plus any tax shown at checkout. It is a one-time purchase and does not renew automatically. Payment does not itself activate or extend the placement.

2. Approval and scheduled activation

HED must approve the sponsor, destination, creative, claims, accessibility, and placement relevance before checkout. Activation remains subject to successful payment reconciliation and an available, conflict-free placement. The accepted start and end are fixed in the booking. HED will not offer checkout when too little time remains to complete payment and activation safely.

3. Sponsor responsibilities

The sponsor represents that:

  • its accepting representative has authority to bind the sponsor;
  • the sponsor controls the approved HTTPS destination;
  • it owns or has sufficient rights to the creative, names, marks, images, and other submitted material;
  • its advertising claims are accurate, lawful, and reasonably substantiated; and
  • the approved destination and offer will remain materially consistent during the scheduled term.

The sponsor grants BDC a non-exclusive, limited license to host, reproduce, and display the approved creative only as needed to review, operate, measure, and document this placement.

4. Creative and placement boundaries

The approved creative must be a static 1200 × 628 JPEG, PNG, or WebP no larger than 2 MiB and hosted by HED. Sponsor-hosted pixels, scripts, iframes, or remote creative are not included. HED may exclude pages where a sponsor would be irrelevant, unsafe, inaccessible, or in conflict with a dealer profile. Qualified industry advertisers, including equipment dealers and parts, service, finance, logistics, and technology businesses, remain subject to HED's sponsor- and page-relevance review. HED will not offer Checkout or accept payment from an equipment dealer until context-aware controls prevent that dealer from appearing as a competing paid recommendation on another dealer's profile.

5. No delivery or outcome guarantee

HED does not guarantee any minimum impressions, clicks, leads, sales, ranking, conversion rate, revenue, or other business outcome. Traffic, consent choices, ad blocking, page eligibility, relevance rules, and user behavior may affect measured delivery.

6. Measurement and reporting

Subject to applicable visitor consent, HED may measure eligible impressions and qualified clicks using HED-hosted instrumentation. Sponsor reporting is aggregate and may be delayed or adjusted to remove invalid or duplicate activity. Measurement practices are described in the Privacy Policy.

7. Cancellation, refunds, and make-goods

  • A sponsor cancellation received before activation receives a full refund of the placement charge.
  • If HED rejects a paid booking before activation for reasons unrelated to the sponsor’s material breach, the placement charge is refunded.
  • After activation, low traffic, ad blocking, ordinary page ineligibility, sponsor destination problems, or sponsor breach do not create a refund right.
  • For whole days of HED-controlled technical unavailability, HED’s first remedy is a reasonable make-good extension. If an extension is impractical, HED may provide a proportional refund for the affected whole days.

8. Pause, removal, and changes

HED may pause or remove a placement for safety, legal compliance, billing, accessibility, relevance, dealer conflict, destination changes, or sponsor breach. A different creative, destination, sponsor, schedule, price, or terms version requires a new review and may require a new order. These v1 terms remain the acceptance record for a booking that cites this exact version.

This version states HED’s current business terms for this offer. BDC may obtain professional legal review and publish a later version for future bookings without changing the version accepted for an existing booking.
